GENERAL DISCLAIMER AND WAIVER OF ALL CLAIMS

(INCLUDING REQUESTS OF THE PROTECTION OF OLDER WORKERS ‘BENEFITS AND NON-COMPETITION AFFIRMATION ACT)

For good and valuable consideration, including, without limitation, the remuneration and benefits set out in the employment contract dated
, 20 (the ?? Agreement ??) between the undersigned and Applied Genetic Technologies Corporation (the ?? Company ??), to which this General Release and Waiver of All Claims is attached, the terms of this Agreement shall survive this General Release and waiver of claims, the undersigned, in his own name and for himself and his heirs, administrators, executors, representatives, estates, lawyers, insurers, successors and assigns (hereinafter separately and collectively referred to as the “principal ??” ), voluntarily releases and forever discharges the Company, and its subsidiaries (direct and indirect), affiliated companies, related companies, divisions, predecessor and successor companies, and each of its shareholders, officers, directors, current, former and future employees, agents, representatives, lawyers, insurers and assigns (collectively as “ Liberators ”), jointly and individually, of all actions, causes of action, claims , prosecutions, charges, complaints, contra Acts, undertakings, agreements, promises, debts, accounts, damages, losses, sums of money, obligations, demands and judgments of any kind, known or unknown, in law or in equity , in tort, contractual, statutory, or on any other basis, for contractual, compensatory, punitive or other damages, expenses (including legal fees and expenses), reimbursements or expenses of any kind, which the undersigned employee has already had, has now or may have, from the beginning of the world until the date of this discharge, known or unknown, in law or in equity, whether statutory or common law, that it be federal, state, local or otherwise, including, but not limited to, all claims arising out of or in any way relating to the engagement of the undersigned by the Company (including the hiring or termination of this engagement), or any related matter, including including, but not limited to, claims, if any, arising out of the Age Discrimination in Employment Act 1967, as amended by Older Worker Benefits Protection A ct; the Civil Rights Act 1964, as amended; the Civil Rights Act 1991, as amended; the Law on Family and Medical Leave of 1993, as amended; the Immigration Reform and Control Act 1986; the Americans with Disabilities Act of 1990, as amended; the Employees Retirement Income Security Act (ERISA), as amended; Florida Civil Rights Act, FLA. STAT. sections 760.01 to 760.11; STAT FLA. articles 448.01 and following; Mass General L. c. 151B, articles 1 and following; Mass General L. c. 149, articles 1 and following; Mass General L. c. 151, articles 1A and following; and federal, state or local common law, statutes, statutes, ordinances or regulations. Notwithstanding the foregoing, nothing in this General Release and Waiver of Claims shall be construed as preventing any claim by the undersigned aimed at enforcing the terms of the Agreement.

The assignor declares and acknowledges the following:

(a)

that the waiver understands the various claims that the waiver might have made under federal or state law, including, but not limited to, age discrimination in employment law and other similar laws;
